Pefa and Pefa.com are trade names of Pefa B.V., registered with the Dutch Chamber of Commerce under number 27310765, with its offices at Visafslagweg 1, 2583 DM Scheveningen (The Hague), the Netherlands (« Pefa »). These terms apply to every subscription to and use of the Pefa systems available at www.pefa.com. An agreement with a user only arises after acceptance by Pefa of a completed application.
Buyer subscription. A buyer subscription allows access to the clock auction (Pefa Auction Clock) and places the user in a position whereby it becomes technically possible for them to create transactions by means of the clock auction site. It also provides the user with access to the secured area of the Pefa website. To create transactions, the user also needs a buyer account with the relevant auction. Purchases are concluded between the buyer and the auction; Pefa provides the platform through which they are made. This subscription can be extended with access to a data link to receive all transaction data in real time. Data received through the data link may only be used for the user’s own business purposes and may not be resold or made available to third parties without Pefa’s written consent.
Fisherman subscription (Pefa Data). A fisherman subscription allows access to the secured area of the Pefa website, providing market information and the user’s own data. This subscription can be extended with access to the clock auction, placing the user in a position whereby it becomes technically possible for them to see the auction sales, but not to create transactions.
Pefa eLog. A paid subscription to Pefa eLog allows fishermen to report their fishing trips to their EU government in accordance with EC 1224/2009 and to report fishing trip information to their Pefa-connected fish auction. A free subscription offers the possibility to report fishing trip information to Pefa-connected fish auctions.
Pefa Virtual VMS. Pefa Virtual VMS is available for Dutch vessels and transmits vessel position data to the government in accordance with the applicable legal vessel monitoring obligations.
Login credentials are strictly personal. The user keeps them confidential and is responsible for all use of the Pefa systems under the user’s account. Transactions created under the user’s login are deemed to have been created by the user. If the user suspects that credentials have been lost or compromised, the user informs Pefa immediately so the account can be blocked.
The user is to ensure that their computer system meets the minimum requirements as stated at www.pefa.com.
A subscription is entered into for an initial period of one year. After the initial period it continues for an indefinite period, and can then be terminated by either party in writing with a notice period of three months. Termination during the initial period takes effect at the end of that period.
All rates stated are exclusive of VAT. Fees are invoiced in advance; the invoicing frequency depends on the subscription and is stated in the subscription form. The current rates are stated in the actual version of the subscription form and are also available at the price list on this website. All Pefa invoices have a payment term of 15 days.
Pefa may index its rates once per year in line with the consumer price index. Price changes beyond this indexation will be announced at least two months in advance; in that case the user may terminate the subscription as per the date the change takes effect.
If the user fails to pay the amounts due in a timely manner, statutory commercial interest (art. 6:119a of the Dutch Civil Code) shall be payable on the outstanding amount without a demand or notice of default being required.
If the user fails to meet payment obligations, Pefa follows these steps: (1) a payment reminder; (2) a written notice announcing suspension, with a final payment term of 7 days; (3) suspension of access to the Pefa systems. Access is restored once all outstanding amounts have been paid. In the event of fraud, misuse of the Pefa systems or serious breach of these terms, Pefa may suspend access immediately.
Purchases via the Pefa systems are subject to the sales and auction conditions of the auction where the purchase is made. It is the user’s own responsibility to obtain, review and agree these conditions with the relevant auction; Pefa is not a party to the purchase and has no role in the terms agreed between the user and the auction. In case of conflict, the following order applies: (1) the auction conditions, for everything concerning the purchase itself; (2) these general terms, for everything concerning the use of the Pefa systems.
Pefa aims for high availability of its systems, but does not guarantee uninterrupted access. Planned maintenance is announced in advance where possible and scheduled outside auction hours where possible. If a technical failure occurs during a live auction, the affected auction decides — in consultation with Pefa — whether and how the auction round is resumed or cancelled.
Pefa eLog and Pefa Virtual VMS support the user in meeting legal reporting and monitoring obligations. The legal responsibility for correct, complete and timely reporting remains at all times with the user (the vessel owner or master). In the event of a failure of eLog or Virtual VMS, the user must use the fallback procedures prescribed by the competent authorities (such as manual or alternative reporting). Pefa will inform affected users of a known failure as soon as reasonably possible and will make reasonable efforts to restore the service quickly.
Pefa’s liability for damage arising from or related to the use of its services is limited to direct damage, and per event (a series of related events counting as one event) to a maximum equal to the subscription fees paid by the user in the twelve months preceding the event.
Pefa is not liable for indirect damage, including lost profit, lost savings, loss of data or damage due to business interruption, nor for damage caused by incorrect or incomplete information supplied by auctions, users or third parties.
These limitations do not apply in the event of intent or deliberate recklessness on the part of Pefa’s management.
The user indemnifies Pefa against third-party claims arising from the user’s breach of these terms or unlawful use of the Pefa systems by the user.
Pefa processes personal data in accordance with the EU General Data Protection Regulation. Details are set out in our privacy policy. Where Pefa processes personal data on behalf of an auction or business user, a data processing agreement applies.
Pefa may amend these terms. Material changes are announced at least one month before they take effect. If the user does not accept a material change, the user may terminate the subscription as per the date the change takes effect. The current version is always available at www.pefa.com/general-terms.
These terms are drawn up in English. The English version is the only authentic version; any translation is provided for convenience only.
With regard to all legal relationships with respect to Pefa, Dutch law applies exclusively and the District Court of The Hague is duly authorized to act in all matters of dispute.
